A Seychelles Company Special License (CSL) pays only 1.5% tax on worldwide income and is designed to engage in all forms of international business. A CSL is of particular benefit for people who live in high-tax countries with intrusive regulatory environments and require the ability to demonstrate proper operation of a tax-paying or "tax resident" business with a local presence in the country of registration.

A Company Special License is suited for investment management and advice, offshore banking, insurance and re-insurance, investments, holdings, intellectual property holdings, marketing, headquarters, human resources, franchises, business under a Seychelles International Trade Zone (SITZ) license or any other business approved by the Seychelles International Business Authority (SIBA).

During the application process of a Company Special License a business plan is submitted, detailed personal information is disclosed and beneficial owners are identified to the Seychelles International Business Authority (SIBA). Ownership information is on file with SIBA but remains private and is not accessible to the public and will not be divulged to any foreign governments or organizations. Secrecy provisions in Seychelles law demand all information gathered during the Company Special License application be held strictly confidential.

Where any foreign government authority, by way of nationalism, expropriation, confiscation, force or duress, or by imposition of any confiscatory tax, assessment, or other governmental charge, takes or seizes any shares or other interest in a Seychelles CSL, a Seychelles court decision may be obtained ordering the company to disregard the attempted seizure and continue to respect the rights of the Seychelles CSL shareholders.

Schedule 13 - Secretary


(1)
A relevant company shall at all times have a secretary of the company and such secretary shall be a resident of Seychelles or a body corporate incorporated in Seychelles.

(2) All applications made and all documents required to be submitted to the Registrar or the Authority under any Act by a relevant company shall be made or submitted through the secretary who or which shall verify in writing the signature of any person appearing on the application or document.

(3) The secretary may accept service on behalf of the relevant company and any service accepted by the secretary shall be deemed to have been accepted by the company.

Section 21


1. The rate of the tax payable by a relevant company in respect of its taxable income is 1.5%.

2. The rates of withholding tax under Part IV of the Business Tax Act are as follows:-

(a) in respect of dividend paid to a resident - Nil

(b) in respect of dividend paid to a non-resident - Nil

(c) in respect of interest paid to a resident - Nil

(d) in respect of interest paid to a non-resident - Nil

(e) in respect of royalty paid to a non-resident for the use of, or the right to use, any copyright. patent, design or model or plan or trademark - Nil

(f) in respect of royalty paid to a non-resident in respect of the supply of scientific, technical, industrial or commercial knowledge, information or services - Nil

(g) in respect of royalty paid to a non-resident for the use of, or the right to use, any secret formula, process or know-how whether the know-how is technical, managerial or otherwise and any other intellectual property or right - Nil

(h) in respect of royalty paid to a non-resident for the use of, or the right to use, any industrial, commercial or scientific equipment - Nil
